From what I remember reading, it will fit with that pan. You may have to notch the K member a little, but it should work.
Don't expect to loose any weight, that tranny is a mother! I'd say realistically, about 275 with fluids.

I REALLY hope you've got JRT's book on doing this swap.....it's not all that hard but the wiring end of things is an absolute BITCH !! Contact John at Speartech and he can hook you up with a harness that will solve ALOT of the wiring issues you'll run into. You'll also need to swap out the intake and injectors for f-body ones unless you plan on running a 4" cowl hood. (I've helped on two of these now)

And I'm not going to get into a battle about this and I'm NOT insulting your choices but: you do know that cam/converter combo is WAY overkill on a 3400lb truck right ??...and with that cam you're gonna need alot more flow than a stock head can provide to see the REAL power gains....I'd be considering a BIG-flowing set of heads if you've got your heart set on a Magic Stick 3
