Transmissions woes - getting worse

I know I've been needing to rebuild the trans but it's been ok until recently. Now, however it is getting worse very quicly.
Can someone help me identify what could be knocking inside the trans. When the truck is in park and idling, there is a knock coming from the trans. What spins inside that could knock? It seems to be RPM independent, which leads me away from the motor, but at the same time with a tap of the gas it get's faster but seems to stop at a certain speed. For instance, the engine RPMs may go all the way to redline but it seems to level out and stay at one speed. It was only at startup that it would tick, than after about a minute it would stop and not make any more noise.
I've spoken with FLT and they suggest calling back with a parts list when I get it out. I can't really do that at the moment as it is my daily driver until I get my car back together.
Here's the list of current known problems with the trans:
TC not locking up after a stop/ Harsh release when letting off the gas at cruise
1-2 upshift slipping
2-3 upshift slipping
3-2 WOT shift slipping
**NEW AS OF YESTERDAY** When I put it in park, it will roll, make a click then lock in park.
EDIT: Checked the fluid the other day (about ocne a week) and it is beginning to darken and smell burnt.
Hisotry-
Truck has 144,000 miles on it today, bought new with 5 miles on it. Almost every mile is highway mileage.
It was rebuilt at 40,000 miles after a front pump seal went bad. Since we had it apart and it was under warranty the mechanic went through the entire thing and replaced alot of stuff.
Trans flush at ~80,000.
I really appreciate any help I can get to narrow down the problems. I can't afford an FLT trans, although that would be nice. Maybe if it lasts until mid-March when I get my bonus, then I can get an FLT.

If it is slipping and knocking and I am guessing the fluid is black instead of red I think it's just time to quit messing around and just get a good one built. If you keep pushing it the way it is you may end up with a problem the will render the case unusable for a rebuild then you will be out more money since you won't have a usable core.

I figured out today that the knock is coming from the tailshaft. So what is that, the sunshell?
The fluid is still red but I can tell it's starting to go. It just has that smell to it.
If I could afford a new trans or a built FLT piece, I would've done that. Until then though, I'm working my tail off and eating ramen to save money for something. One day...maybe
